Terms of Service
Last updated: February 7, 2025
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Signonix ("Signonix," "we," "us," or "our"). By accessing or using the Signonix service, you agree to be bound by these Terms. If you do not agree, you must not use the service.
1. Service Description
Signonix provides a passwordless email verification platform delivered as a software-as-a-service ("SaaS"). The service enables end users to verify their identity by confirming access to their email address, eliminating the need for traditional passwords. Developers integrate Signonix into their applications through our documented API to offer secure, frictionless authentication to their own users.
The service includes, but is not limited to, sending verification emails, generating and validating time-limited authentication tokens, providing developer-facing APIs and dashboards, and offering usage analytics and account management tools.
2. Accounts
To use Signonix, you must provide a valid, functioning email address. Your account is tied directly to that email address, and each email address corresponds to a single Signonix account.
You are solely responsible for maintaining access to the email account associated with your Signonix account. Because our authentication is email-based, anyone who can receive email at your registered address can access your account. You agree to:
- Keep your email account secure and under your exclusive control.
- Notify us promptly at hello@signonix.com if you believe your account has been accessed without authorization.
- Provide accurate and current information when registering or updating your account.
We reserve the right to refuse registration, suspend, or terminate accounts at our discretion, including accounts that appear to be duplicates, fraudulent, or in violation of these Terms.
3. Acceptable Use
You agree to use Signonix in a lawful and responsible manner. The following activities are strictly prohibited:
- Using the service to send unsolicited messages, spam, or bulk communications of any kind.
- Attempting to circumvent, disable, or otherwise interfere with rate limits, usage quotas, or any other security or access-control mechanisms.
- Using the service for any purpose that violates applicable local, state, national, or international law or regulation.
- Probing, scanning, or testing the vulnerability of the service or any associated system or network without express written permission.
- Interfering with or disrupting the integrity or performance of the service for other users.
- Reverse-engineering, decompiling, or disassembling any part of the service, except to the extent expressly permitted by applicable law.
- Impersonating any person or entity, or falsely representing your affiliation with any person or entity.
We reserve the right to investigate suspected violations and take appropriate action, including suspension or termination of your account and reporting to law enforcement authorities.
4. Developer Terms
If you integrate Signonix into your application as a developer, the following additional terms apply to you:
- API Usage. You agree to use the Signonix API solely as described in our official documentation. You must not access the API through undocumented endpoints, methods, or parameters.
- API Key Security. Your API keys are confidential credentials. You are responsible for keeping them secure and must not share, publish, or embed them in client-side code or public repositories. You are liable for all activity that occurs under your API keys.
- User Consent. You must obtain and respect the consent choices of your end users. You are responsible for providing your own privacy policy and terms of service to your users and for ensuring your use of Signonix complies with all applicable privacy and data protection laws.
- Data Minimization. You agree to collect and store only the data you genuinely need. You must not use the Signonix service to harvest, accumulate, or retain user email addresses or verification data beyond what is necessary for the functioning of your application.
- Compliance. You are solely responsible for ensuring that your application and your use of the Signonix API comply with all applicable laws and regulations, including but not limited to the CAN-SPAM Act, GDPR, and CCPA.
5. Billing
Signonix offers a free tier with limited usage. Paid plans are available for higher usage volumes and additional features.
- Pricing. Paid plans are usage-based. Current pricing is published on our website and may be updated from time to time. We will notify you of pricing changes at least 30 days before they take effect.
- Payment. Paid plans are billed monthly through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on file on a recurring monthly basis.
- Payment Failure. If a payment fails, we will attempt to notify you and retry the charge. If payment remains unsuccessful after reasonable retry attempts, your account will be downgraded to the free tier. You will not lose your account data, but access to paid features and higher usage limits will be restricted until payment is resolved.
- No Refunds. Fees are non-refundable. We do not provide refunds or credits for partial months of service, unused usage, or downgraded accounts. If you cancel a paid plan mid-cycle, you will retain access to paid features until the end of your current billing period.
6. Data & Privacy
Your privacy matters to us. Our collection, use, and handling of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Signonix, you acknowledge that you have read and understood the Privacy Policy and consent to the data practices described therein.
We process personal data, including email addresses and verification metadata, solely for the purpose of providing and improving the service. We do not sell personal data to third parties.
7. Intellectual Property
The Signonix service, including its source code, design, logos, trademarks, documentation, and all associated intellectual property, is and remains the exclusive property of Signonix. These Terms do not grant you any right, title, or interest in the service beyond the limited right to use it in accordance with these Terms.
If you are a developer, you retain full ownership of the applications you build using the Signonix API. Nothing in these Terms transfers ownership of your code, designs, or content to Signonix. However, you may not use the Signonix name, logo, or branding in a way that suggests endorsement or affiliation without our prior written consent.
8. Service Availability
We strive to maintain high availability of the Signonix service and invest in reliable infrastructure to minimize downtime. However, we do not guarantee 100% uptime.
The service may be temporarily unavailable due to:
- Scheduled maintenance, for which we will endeavor to provide reasonable advance notice.
- Unscheduled maintenance required to address urgent security vulnerabilities or critical issues.
- Circumstances beyond our reasonable control, including but not limited to natural disasters, network outages, or third-party service failures.
We are not liable for any loss or damage arising from service interruptions or downtime.
9. Limitation of Liability
To the maximum extent permitted by applicable law, the Signonix service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
In no event shall Signonix, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the service, regardless of the theory of liability.
To the extent permitted by law, our total aggregate liability for any claims arising out of or related to these Terms or the service shall not exceed the total amount of fees you paid to Signonix during the twelve (12) months immediately preceding the event giving rise to the claim. If you have not paid any fees, our maximum liability shall not exceed fifty U.S. dollars ($50.00).
10. Termination
Either party may terminate this agreement at any time. You may terminate your account by contacting us at hello@signonix.com or by using the account deletion feature in your dashboard, if available.
We may suspend or terminate your account immediately and without prior notice if:
- You violate any provision of these Terms.
- Your use of the service poses a security risk or may adversely impact the service or other users.
- We are required to do so by law or regulation.
- Your account has been inactive for an extended period as defined in our data retention policy.
Upon termination, your right to use the service ceases immediately. We will delete your account data in accordance with the retention schedule described in our Privacy Policy. Sections of these Terms that by their nature should survive termination will remain in effect, including but not limited to Sections 7, 9, and 12.
11. Changes to These Terms
We may update these Terms from time to time to reflect changes in our service, legal requirements, or business practices. When we make material changes, we will update the "Last updated" date at the top of this page and, where practicable, notify you via the email address associated with your account.
Your continued use of the Signonix service after the revised Terms take effect constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the service and terminate your account.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising out of or relating to these Terms or the service shall be resolved in the federal or state courts located within the United States, and you consent to the personal jurisdiction of such courts.
